Terms of Service

These terms apply when you use toolsduniya.in, app.toolsduniya.in (Toolsduniya Connect) or buy any product or service from Manvendra Pratap Singh, a sole proprietorship trading as Toolsduniya, GSTIN 09GIOPS6886J1ZX, Agra, Uttar Pradesh ("Toolsduniya", "we", "us"). By using our website or software, or by paying us, you agree to these terms, our Privacy Policy, Refund & Cancellation Policy and Shipping & Delivery Policy.

1. What we offer

• Digital products (e-books, playbooks, templates): fixed price shown on the website, delivered as a download.
• Software (SaaS): Toolsduniya Connect, a WhatsApp marketing platform at app.toolsduniya.in, on prepaid monthly or yearly plans.
• Website development and digital marketing services (Meta / Google Ads, funnels, automation, WhatsApp setup): scope, price, timeline and milestones are set out in a written quote or proposal that you accept before paying.
• Online courses, webinars, coaching and consultation: the fee, schedule, format, access period and what is included are stated in the offer page or written confirmation before you pay.

2. Your responsibilities

• Give accurate name, contact, state and GST details at checkout or sign-up. You must be at least 18 and authorised to act for your business.
• Keep your login details safe. You are responsible for activity under your account and your team members.
• Provide the content, access and approvals a service needs on time. Delays on your side move the delivery timeline.

3. Prices, taxes and payment

• All prices are in Indian Rupees. Digital product prices on the website include 18% GST. SaaS plan prices and service quotes are shown plus 18% GST, which is added at checkout or on the invoice.
• A GST invoice is issued for every paid order.
• Online payments are processed by an RBI-authorised payment gateway. We never see or store your card number, UPI PIN or net-banking password, and we will never ask you for them.
• An order is treated as paid only after the payment gateway confirms the payment to our server. If money is deducted but the order shows unpaid, contact us with the transaction ID; failed payments are normally reversed by the bank.
• We may change prices for future purchases. A price change never affects a plan or order you have already paid for.

4. Digital delivery

Digital products are delivered online only; nothing is shipped. Delivery times are in our Shipping & Delivery Policy. Download links are valid for 30 days from payment; please save your files. If a link expires, contact us and we will resend it.

5. Toolsduniya Connect (SaaS) terms

• Free trial: 14 days, no payment needed.
• Plans: Starter, Growth and Pro, prepaid for 1 month or 1 year. Plan limits (team members, tags, chatbot flows, API campaigns, webhooks) are shown on the pricing section and in Billing.
• No automatic renewal: we do not auto-debit or save your card. A plan simply ends on its end date. To continue, you renew from Billing; renewing early extends the current end date.
• After a plan ends: there is a 3-day grace period. After that, sending messages pauses; incoming messages keep arriving and your data is not deleted, so you can renew later.
• Cancellation: you can stop at any time by not renewing, or ask us to close your workspace. Refunds are as per our Refund Policy.
• Meta charges: WhatsApp conversation / message charges are set by Meta and paid by you directly to Meta through your WhatsApp Business Account. They are not part of our plan fee and we add no markup.
• Your WhatsApp account: you connect your own phone number and Meta Business account. Meta decides template approvals, messaging limits, quality ratings and account restrictions; we cannot override them.
• We aim to keep the platform available at all times but do not promise uninterrupted service, especially during Meta or hosting outages.

6. Acceptable use and messaging rules

You must follow the WhatsApp Business Messaging Policy, WhatsApp Commerce Policy and Indian law. You must:

• Message only people who have given you opt-in consent to receive WhatsApp messages from your business, and keep a record of that consent.
• Not upload or message bought, rented, scraped or third-party contact lists.
• Honour opt-out requests (for example "STOP") immediately. Contacts who opt out are blocked from broadcasts in the platform.
• Not send spam, misleading, adult, gambling, illegal or harmful content, or anything banned by Meta's policies.
• Not try to break, overload, copy or reverse-engineer our website or software, or use it for fraud.

We may suspend a workspace without refund for serious or repeated breaches, or if Meta or a payment gateway flags your use. We will tell you why.

7. Services and results

We work with care and use proven methods, but marketing results depend on factors outside our control (ad platforms, your offer, budget and market). We do not guarantee specific leads, sales, rankings or returns. Ad spend is paid by you directly to the ad platform and is separate from our fees.

8. Intellectual property and licence

Our website, software, brand, courses and products belong to us. Buying a digital product or course gives you a personal, non-transferable licence to use it in your own business; you may not resell, share or publish it. Work we create specially for you under a paid service belongs to you once it is fully paid, except third-party items (themes, plugins, stock media) which stay under their own licences.

9. Limitation of liability

To the extent allowed by law, our total liability for any claim is limited to the amount you paid us for the product or service concerned in the three months before the claim. We are not liable for indirect losses such as lost profits, or for outages or decisions of third-party platforms (Meta, Google, payment gateways, hosting). Nothing here limits rights you have under the Consumer Protection Act, 2019.

10. Termination

You can stop using our services at any time as described in our Refund & Cancellation Policy. We may suspend or end access if you break these terms.

11. Governing law and grievances

These terms are governed by the laws of India. Disputes are subject to the courts of Agra, Uttar Pradesh. Complaints can be sent to our Grievance Officer (below); we acknowledge within 48 hours and aim to resolve within 30 days.
